These Terms of Use ("Terms") govern your access to and use of the Vesper AI platform ("Platform"), available at vesperai-agent.com, operated by Vesper AI, a company registered in the Netherlands ("Company", "we", "us", or "our").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Vesper AI is an AI-powered real estate due diligence platform built on a tier-one, institutional-grade analysis engine. The Platform employs advanced artificial intelligence trained on professional due diligence methodologies to deliver comprehensive assessments across technical, financial, legal, contractual, commercial, permits, and KYC categories — the same scope and rigour expected from leading advisory firms.
Output Quality Depends on Input Quality
While the Vesper AI engine itself operates at institutional standards, the quality of any Report is for a large part determined by the quality and completeness of the documents you provide. The Platform can only analyse what it receives.
An incomplete data room — missing key documents such as environmental assessments, lease agreements, inspection reports, or financial statements — will produce a Report that may be incomplete, inaccurate, or misleading. The engine cannot identify or compensate for documents that were never uploaded.
It is your sole responsibility to provide a complete and accurate set of source documents before generating a Report.
Vesper AI Reports are designed to be used as a professional tool in your decision-making process. Reports provide institutional-grade analysis that can inform and support investment decisions, acquisitions, dispositions, and other real estate transactions.
However, the final decision to proceed with any transaction remains yours and yours alone. We recommend using Vesper AI Reports alongside independent professional advisors (such as lawyers, tax advisors, valuers, and financial advisors) as part of a comprehensive due diligence process.
Accountability
Vesper AI cannot be held accountable for any decisions made based on the contents of a Report — whether in whole or in part. While our engine delivers professional-grade analysis, the responsibility for interpreting findings and making final decisions rests entirely with the user.
As outlined in Section 2, Report quality is directly tied to the completeness of the documents provided. Vesper AI bears no responsibility for conclusions drawn from Reports generated with incomplete or inaccurate source data.
Vesper AI and its directors, employees, agents, and affiliates accept no liability whatsoever for any loss, damage, cost, or expense (whether direct, indirect, consequential, or otherwise) arising from or in connection with any decision made, action taken, or action not taken based on the contents of any Report or any other output of the Platform.
Vesper AI cannot be held accountable for any investment, acquisition, disposition, or other decision made solely or primarily on the basis of a Report. Reports are generated by AI and are intended to supplement — not replace — independent professional due diligence conducted by qualified advisors.
Without limiting the foregoing, Vesper AI shall bear no responsibility for any Report that is incomplete or misleading due to the user's failure to upload a complete and accurate set of source documents. The Platform analyses only what is provided; it cannot identify or compensate for documents that were never uploaded.
You acknowledge and agree that you use the Platform and any Reports entirely at your own risk.
All intellectual property in the Platform (including software, models, design, and branding) remains the exclusive property of Vesper AI. You retain ownership of documents you upload. Reports generated are licensed to you for your internal use only and may not be redistributed or resold without our prior written consent.
To the maximum extent permitted by applicable law, the total aggregate liability of Vesper AI for any and all claims arising out of or in connection with these Terms or your use of the Platform shall be limited to the total subscription fees actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational damage, regardless of the cause of action or theory of liability.
You agree to indemnify, defend, and hold harmless Vesper AI, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Access to certain features of the Platform requires a paid subscription. Fees, billing cycles, and cancellation terms are set out on the Platform at the time of purchase. We reserve the right to change pricing with reasonable notice. Non-payment may result in suspension or termination of your account.
We may suspend or terminate your access at any time, with or without cause, upon reasonable notice. You may terminate your account at any time. Upon termination, your right to use the Platform ceases immediately. Sections 3, 4, 7, 8, 11, and 12 survive termination.
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or failures of third-party AI service providers.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vesper AI regarding your use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
